Terms of Service

These terms are an agreement between Hello Studio Ltd. ("we", "us") and the merchant installing the app ("you"). Please read them before installing.

1. Agreement

By installing or using Hello Studio you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it. If you do not agree, do not install the app.

2. What the service is

Hello Studio supplies pre-built Shopify theme sections and installs them into the themes you choose.

Two things follow from how it works, and both matter:

  • Sections become part of your theme. Installing writes Liquid files into your theme. They are your store's files from that moment on.
  • Nothing is served from us at runtime. There is no script tag, no external request, no dependency on our servers for your storefront to render. If our service disappeared tomorrow, every section already in your theme would keep working.

3. Licence

When you buy a section you get a perpetual, non-exclusive licence to use it:

You may
  • use it on every theme of the store that bought it,
  • use it on live, staging and duplicated themes of that store,
  • edit the installed Liquid to fit your design,
  • keep using it forever, including after you uninstall the app.
You may not
  • resell, redistribute, sub-licence or publish the section code,
  • use it on a different store — including another store you own; each store buys its own licence,
  • include it in a theme you sell or give away,
  • claim authorship of the section code.

We keep all intellectual property in the sections. You keep all intellectual property in your store, your content and any edits you make.

4. Pricing and payment

  • All payments are processed by Shopify and appear on your regular Shopify invoice. We never handle your card details.
  • A section purchase is a one-time charge. There is no subscription, no recurring fee and no expiry.
  • Bundles apply a tiered discount based on how many chargeable sections are in the cart. The discount shown at checkout is recalculated on our server from the catalogue at that moment — the price you approve in Shopify is the price you pay.
  • Free sections are free permanently; they never convert to paid.
  • Sections you already own are removed from a bundle before it is priced, so you are never charged twice for the same section.
  • Prices are shown in the currency of the section and charged by Shopify in that currency. Taxes are handled by Shopify according to your store's location.

5. Delivery

A purchase is delivered as soon as Shopify confirms the charge: the section is added to your library and installed into your store automatically. If the automatic install fails, the section is still yours — install it from My Sections at any time, at no extra cost.

6. Refunds

Sections are digital goods delivered immediately, so we do not offer refunds as a matter of course.

We will refund you if:

  • a section does not do what its description says, and we cannot fix it, or
  • a section cannot be made to work on a supported Online Store 2.0 theme, and we cannot fix it.

Contact us within 14 days of purchase at support@hellostudio.Store with your store URL and a description of the problem. Refunds are issued through Shopify.

We do not refund for: a change of mind after installing, a section that works but that you no longer want, or a problem caused by edits made to the section's code after installation.

7. What we are responsible for

  • The section code we supply, and that it does what its description says on a supported Online Store 2.0 theme.
  • Fixing bugs in our sections that we can reproduce.
  • Keeping your data as described in the Privacy Policy.

8. What you are responsible for

  • Backing up your theme before installing. Installing writes files into your theme; re-installing a section overwrites its files.
  • Your theme, your content, your storefront, and your store's compliance with the law.
  • Any edits you make to an installed section. If you edit a section's Liquid and then re-install or update that section, your edits to that file are replaced.
  • Testing a section on a duplicated theme first if your live theme is business-critical.
  • Keeping your Shopify account secure.

9. Availability and support

We make reasonable efforts to keep the app available, but we do not guarantee uptime, and the app may be unavailable during maintenance or because of a Shopify outage.

Support is by email at support@hellostudio.Store. We aim to reply within one business day.

Sections already installed in your theme are unaffected by any outage of ours — see section 2.

10. Changes to the service

We may add, change or retire sections in the catalogue. Retiring a section from the catalogue does not remove it from your library or your theme — anything you already own stays yours.

We may change these terms. If a change is material we will notify you in the app before it takes effect. Continuing to use the app after that constitutes acceptance.

11. Termination

  • You may end this agreement at any time by uninstalling the app.
  • We may suspend or end it if you breach these terms, in particular the licence restrictions in section 3.

On termination: sections already installed keep working, your storefront is unaffected, and your data is deleted as described in the Privacy Policy. Your licence to sections you bought survives termination; your right to install new ones through the app does not.

12. Warranties and disclaimers

We provide the app and the sections "as is". To the extent the law allows, we exclude all implied warranties, including merchantability and fitness for a particular purpose. We do not warrant that the app will be uninterrupted or error-free, or that a section will be compatible with every theme or third-party app.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

13. Limitation of liability

To the extent the law allows, our total liability arising out of or relating to this agreement is limited to the fees you paid us in the 12 months before the claim.

We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, or data.

14. Indemnity

You agree to indemnify us against claims arising from your use of the app in breach of these terms, or from content you supply to us — including images and links in a section request.

15. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer rights you have where you live.
